I want to use this box which has win2k on it..and share the dsl connection with this pos gateway that is running win me ;( I dont have a dsl router but i do have a total of 3 nic cards if that will help me any.. Please someone help me.. thank so much in advance ;D

If you don't want to get a router (Best option...) then you'll need some internet connection sharing software, such as Sygate.
