Should i upgrade from p4 2.4 533fsb to amd 64???

Hello all

I have a p4 2.4 533fsb 1.5g ram and i have 6800gt oc to ultra speeds . I just feel like my cpu is holding my videocard back from reaching its peak

 

I want to buy asus a8v rev2(939) adn 3500+ cpu with at least a gig of ram and i have a 560w psu and all the rest sound cdrom and dvd burner which i will transfer over to new rig

Do you guys think it will help my videocard much and if so why?

and also which 939 board do you guys like MSI or ASUS?

i dont plan on overclocking (at least for a while )
