help intalling 3d max 4 in windows xp

hi recently i had to format my hardrive and i updated my system from windows 2000 professional to windows xp but for some weird reason it wont let me install 3d max 4 i get this error message

"could not copy c:\documents and settings\administrator\3dmax4\eula\adsklicense.ini intallation may not fucntion properly. Please cancel installation.

 

i can however install 3d max 3 but since i made all my models in 3dmax 4 i cant opend them in version 3

 

 

can anyone help me out

please what can i do or what am i missing
